BVI Professional Fund Setup (Open-Ended Fund)

The first step is establishing the fund’s investment approach, investor profile, and operational model. Most professional funds are structured to manage strategies such as hedge funds, digital asset funds, or diversified investment portfolios.

The fund is typically incorporated as a BVI business company in the British Virgin Islands. The structure defines share classes, investor rights, redemption rules, and governance.

Professional funds must appoint at least two directors, including one individual director. An Authorized Representative must also be appointed to liaise with the BVI Financial Services Commission.

Documents such as the fund’s constitutional documents, offering details, and compliance framework are prepared before submitting the fund for regulatory recognition.
