BVI Private Fund Setup (Open-Ended Fund)

It is a regulated investment vehicle under the BVI Securities and Investment Business Act (SIBA) where investors generally hold the right to redeem their interests. It is structurally limited to a maximum of 50 investors or offered exclusively on a private basis.

Unlike an Incubator Fund, which is capped at 20 investors, a US$20 million asset limit, and a strict two-year operational life, a BVI Private Fund has no statutory asset caps, accommodates up to 50 investors, and operates indefinitely.

All investment funds in the jurisdiction, including Private Funds, are strictly regulated and recognized by the BVI Financial Services Commission (FSC).

The collection and verification of key KYC/AML and identity documents for all directors and Persons with Significant Control (PSCs) takes approximately 1 to 2 calendar weeks.
