An ADGM Foundation is a standalone legal entity that owns its assets outright. It can open bank accounts, enter into contracts, and hold property in its own name, without the complexity of a trust relationship.
ADGM Foundation regulations include statutory firewall provisions that protect Foundation assets from the personal creditors of the Founder, providing robust protection for family wealth once assets are transferred into the Foundation.
The Foundation's Bylaws, which set out beneficiaries, distribution rules, and governance mechanics, are held privately with the registered agent and are not accessible to the public or third parties.
Assets held by an ADGM Foundation do not form part of the Founder's personal estate. They transfer to beneficiaries according to the Bylaws, bypassing the UAE probate process entirely and avoiding forced-heirship exposure.

The first step involves understanding the Founder's objectives, including asset types, beneficiary composition, and governance preferences, to design the most appropriate Foundation structure and governance framework.
The Foundation Charter (filed publicly) and Bylaws (held privately) are drafted to reflect the Founder's instructions. Full KYC documentation for the Founder, Council Members, and any Guardian is also compiled at this stage.
An ADGM-licensed Company Service Provider is engaged to provide the registered office address and manage ongoing statutory filings, ensuring the Foundation maintains compliance with annual RA requirements.
The Foundation application is submitted to the ADGM Registration Authority via the online registry portal, along with all required documentation and the applicable registration fee. The RA typically issues a Certificate of Registration within three to five working days.
Following registration, the Foundation is entered into the ADGM Private Register, Data Protection registration is completed, and a bank account is opened with a suitable UAE banking partner to begin receiving and managing the Foundation's assets.

An ADGM Foundation is a standalone legal entity established under the ADGM Foundations Regulations 2017, designed to hold and manage assets for the benefit of designated beneficiaries, used widely for succession planning, asset protection, and family governance.
Any individual or legal entity, regardless of nationality or UAE residency, can establish an ADGM Foundation. The Founder transfers assets into the Foundation, which then administers them according to the Charter and Bylaws.
An ADGM Foundation can hold shares in companies, cash and listed securities, interests in real estate, digital assets, intellectual property, and other financial instruments, held directly by the Foundation in its own name.
The Foundation is administered by a Council of at least two members, appointed in accordance with the Bylaws. An optional Guardian may be appointed to oversee the Council. The Founder may hold reserved powers as defined in the Charter.
