ADGM SPV Company Setup

An SPV is a passive corporate entity established within the ADGM specifically to hold assets, manage investments, or execute structured financing without conducting active commercial operations.

To successfully register an SPV, applicants must satisfy the Nexus Requirement by demonstrating a genuine connection to the UAE or GCC region, such as holding regional assets or having regionally resident shareholders.

Any international corporate group, family office, or individual investor can establish an SPV, provided they successfully satisfy the Nexus Requirement and appoint a licensed CSP.

Unless explicitly exempt, the SPV must appoint an ADGM-licensed CSP to provide the registered office address, conduct AML screening, and act as the primary compliance liaison with the ADGM Registrar.
