This new legislation provides much-needed clarity on when <strong>non-resident juridical investors<\/strong> in <strong>Qualifying Investment Funds (QIFs)<\/strong> and <strong>Real Estate Investment Trusts (REITs)<\/strong> are considered to have a <strong>taxable nexus<\/strong> in the UAE.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-what-has-changed\"><strong>What Has Changed?<\/strong><\/h3>\n\n\n\n<p>The decision introduces a more nuanced and transparent framework to determine the tax presence of non-resident investors in QIFs and REITs. Here\u2019s a breakdown of the key conditions that now determine whether a <strong>nexus<\/strong>\u2014and thereby, a corporate tax obligation\u2014exists.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-nexus-rules-for-qifs\"><strong>Nexus Rules for QIFs<\/strong><\/h3>\n\n\n\n<p>A non-resident juridical investor will be considered to have a <strong>taxable nexus<\/strong> in the UAE under the following scenarios:<\/p>\n\n\n\n<ul>\n<li><strong>80% Distribution Rule<\/strong>: If <strong>80% or more of the QIF\u2019s income<\/strong> is distributed within <strong>nine months<\/strong> of the financial year-end, the tax nexus arises <strong>on the date of dividend distribution<\/strong>.<br><\/li>\n\n\n\n<li><strong>Non-Compliance with Distribution Rule<\/strong>: If the QIF <strong>fails<\/strong> to meet the 80% threshold, the nexus is triggered <strong>on the date the ownership interest is acquired<\/strong>.<br><\/li>\n\n\n\n<li><strong>Diversity of Ownership<\/strong>: A taxable nexus also applies if the <strong>fund fails to meet the diversity of ownership requirements<\/strong> during the tax period.<br><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-nexus-rules-for-reits\"><strong>Nexus Rules for REITs<\/strong><\/h3>\n\n\n\n<p>The rules for REITs mirror those for QIFs:<\/p>\n\n\n\n<ul>\n<li>The <strong>80% income distribution threshold<\/strong> applies similarly.<br><\/li>\n\n\n\n<li>If the REIT complies, the nexus is triggered <strong>on the dividend distribution date<\/strong>.<br><\/li>\n\n\n\n<li>If it fails to comply, the nexus arises <strong>on the date of acquiring the ownership interest<\/strong>.<br><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-the-upside-for-non-resident-investors\"><strong>The Upside for Non-Resident Investors<\/strong><\/h3>\n\n\n\n<p>This is <strong>positive news<\/strong> for foreign investors.
